A. Contract Conclusion

(hereinafter also referred to as “Suisse Local” or “We” or “Service Provider”) and its subsidiaries, exclusively these General Terms and Conditions shall apply. Any deviating regulations in the Client’s/Customer’s General Terms and Conditions are hereby expressly rejected.

B. Scope of Services and Warranty

(1) Suisse Local offers online marketing services. These include the creation, adaptation, and maintenance of websites, online marketing services in the area of search engine optimization and search engine marketing, local listing & listing engagement, Google MyBusiness, Facebook Fanpage, Google Ads, Facebook Ads, Instagram Ads, and social media campaigns.

The scope of services to be provided by Suisse Local is binding only as defined by the order confirmation and/or written individual agreements. Suisse Local is entitled to provide the services itself or by involving third parties, or to utilize existing services of third parties. In case of doubt, the respective terms and conditions of publication on Suisse Local’s website at “www.suisselocal.com” shall apply.

(2) Suisse Local does not guarantee that the commissioned services will achieve the advertising and/or communication successes pursued by the Client (e.g., increase in brand awareness, reach, “clicks,” “likes,” ratings, calls, etc.), or economic or other objectives (e.g., increase in sales, turnover, conversion rate). This does not apply if Suisse Local has expressly guaranteed in writing the achievement of a specific success or objective. Suisse Local is not liable for the actual and complete publication, discoverability, and a specific placement or ranking of the Client’s homepage and/or advertising content in search engine results, hit lists, on internet pages, and other advertising media, or for the technically flawless delivery of advertising on internet pages and advertising slots by the respective operator of the advertising medium, service provider, or their auxiliary persons. It is expressly pointed out that the scope of services may change due to alterations by the involved third-party providers. In the event of relevant, disadvantageous, and verifiable changes, the Client/Customer shall be entitled to a reduction upon appropriate notification to Suisse Local, if and insofar as compensation cannot be achieved otherwise.

C. In Detail:

1.1 These General Terms and Conditions can be viewed at any time on the Suisse Local website at “www.suisselocal.com“. Unless otherwise expressly agreed upon in writing, they form the basis of all offers, contracts, deliveries, and services concluded between Suisse Local and its Clients (hereinafter also referred to as Clients) regarding the contractual service.

1.2 If the Client so wishes, all documents will be sent to them (also) before the contract is concluded.

1.3 At the latest upon acceptance of the offer, counter-signature of the contract, telephone order of the service, commencement of service provision, receipt of the service, and/or acceptance of the service, these terms are deemed accepted, unless a different agreement has been made.

1.4 Our General Terms and Conditions apply exclusively to offers, deliveries, and services. The Service Provider does not recognize any opposing or deviating terms and conditions from the Client, unless the Service Provider has expressly agreed to their validity in writing.

1.6 Scope of Application
1.6.1 These General Terms and Conditions apply exclusively to (commercial) entrepreneurs (within the meaning of Swiss law), to whom the offer is exclusively addressed.

1.6.2 The Client declares its commercial activity within the meaning mentioned above upon conclusion of the contract.

1.7 Right of Withdrawal
The Client generally has no right of withdrawal due to its entrepreneurial status, unless otherwise regulated in the order confirmation.

1.8 These General Terms and Conditions also apply to all future transactions with the Client. For subsequent transactions with companies and legal entities under public law, these General Terms and Conditions also apply even if they are not explicitly and repeatedly included in the contract conclusion in every case.

1.9 If an amendment to these General Terms and Conditions is planned by the Service Provider, the Client will be informed of the desired changes in writing by mail or e-mail. The changes are deemed approved if the Client does not object within 2 weeks by mail or fax. If the Client objects to the desired changes, the Service Provider’s desired changes are deemed rejected. The contractual relationship will then continue without the changes to the original terms. The right of both contracting parties to terminate the contract remains unaffected thereby.

2.0 Social Media Marketing

2.1. Werbeanzeigen (Video, Bild und Text) für Social Media Kampagnen (z. B. Facebook Anzeigen, YouTube, Instagram) erstellt Suisse Local nach billigem Ermessen unter Berücksichtigung der geschäftlichen Interessen des Kunden. Eine Absprache oder Freigabe durch den Kunden ist nicht erforderlich; etwas anderes gilt nur dann, wenn Suisse Local mit dem Kunden schriftlich verbindliche Vorgaben vereinbart. Der Kunde wird mit Freischaltung der Anzeige über deren Inhalt informiert.

2.2 Suisse Local ist berechtigt, die Einzelheiten der jeweiligen Werbemassnahme (Kampagne), insbesondere die Zielgruppendefinitionen (u.a. Alter, Geschlecht, Wohnort, Interessen) nach billigem Ermessen festzusetzen und bei Bedarf abzuändern, ohne den Kunden hierüber gesondert zu informieren; etwas anderes gilt nur dann, wenn wir mit dem Kunden schriftlich verbindliche Vorgaben vereinbaren. Wir werden uns nach besten Kräften bemühen, etwaige von dem Kunden mitgeteilten Zielgruppendefinitionen bei der Kampagne zu berücksichtigen.

2.3 Eine Auswertung der Kampagne erhält der Kunde am Ende der Kampagne als Zusammenfassung. Auf Wunsch erhält der Kunde bis zu einem Mal pro Monat eine Auswertung der Kampagne per E-Mail.

2.4 Sofern der Kunde die Anzeigentexte, Bilder oder andere Einstellungen der Kampagne verändert, übernehmen wir keine Gewähr für den Erfolg der Kampagne und die Auswirkungen auf das Werbebudget. Der Kunde wird uns über die von ihm vorgenommenen Änderungen unverzüglich informieren.

2.5 Der Kunde legt für die Dauer der Vertragslaufzeit oder vorab definierter Zeitintervalle ein bestimmtes monatliches Werbebudget für die Schaltung von Werbeanzeigen fest. Das Werbebudget setzt sich zusammen aus a) den Kosten für die Werbeanzeigen auf Social Media Plattformen, wie z. B. Facebook und b) der Vergütung von Suisse Local für die Erstellung der Werbeanzeigen und der Verwaltung der Kampagne. Die Höhe der Vergütung hängt von dem Volumen des Werbebudgets ab. Die weiteren Einzelheiten sind im Zweifel in den Auftragsunterlagen festgelegt.

2.6 Die Anzeigenkosten für die Veröffentlichung der Werbeanzeige werden von den jeweiligen Social Media Plattformen in einem Preisbestimmungsverfahren festgelegt, auf das Suisse Local keinen Einfluss hat. Die Anzeigenkosten sind erfolgsabhängig und fallen nur an, wenn ein Internetnutzer auf eine veröffentlichte Werbeanzeige des Kunden klickt oder andere erfolgsbasierten Handlungen durchführt. Die Agenturvergütung ist erfolgsunabhängig und fällt in jedem Monat in voller Höhe an.

2.7 Der erste Abrechnungsmonat beginnt am Tag des Vertragsabschlusses oder zu dem vereinbarten Termin. Der Abrechnungsmonat endet an dem Tag des Folgemonats, der in seiner Zahl dem Tag des Fristbeginns vorgeht. Fehlt dieser Tag in einem Kalendermonat, so endet der Abrechnungsmonat bereits am letzten Tag des Folgemonats.

3.0 Contract Term (Duration) and Termination

3.1 The contract term (Section 6 “Commencement of Monthly Contract Term”) depends on the respective package and is determined by the contract concluded with the Client. The terms vary between 12, 24, 36, and 48 months.

3.2 If the Client does not terminate within three months before the end of the contract term or before the end of the extension period, the contract automatically renews tacitly for the stated initial contract term.

3.3 This does not apply if the subject of the contract is a product for which automatic termination of the contract has been expressly agreed upon.

3.4 Terminations require written form. The timeliness of termination is determined by its receipt by Suisse Local.

3.5 The Service Provider is also entitled to terminate the contract unilaterally without notice for important reasons.

3.5.1 An important reason is also the exceeding of the Service Provider’s monthly costs for advertising services by more than 50% of the Client’s monthly payment.

3.5.2 Unilateral contract rejections and restrictive contract changes by the respective advertising platforms are also considered important reasons.

3.5.3 For the Service Provider, a reason for extraordinary termination exists in particular if:
3.5.3.1 the credit report is negative
3.5.3.2 the Client ceases payments, is insolvent, or defaults on payments
3.5.3.3 insolvency proceedings concerning the Client’s assets are opened or rejected due to insufficient assets
3.5.3.4 the Client otherwise seriously violates its contractual obligations.

3.6 Should Suisse Local terminate the contract without notice for an important reason, the Client, if they have made advance payments, will receive a pro-rata refund depending on the services already rendered by Suisse Local and the advance payments made by the Client.

3.7 The Service Provider reserves the right to agree on a longer notice period in connection with products for which no contract term is agreed upon.

3.8 The right to extraordinary termination in accordance with contractual and legal provisions remains unaffected. If the Client is responsible for the reason for extraordinary termination, the Service Provider is entitled to liquidated damages in the amount of ÂĽ of the monthly basic fees that would have been payable by the Client from the time the extraordinary termination became effective until the next ordinary termination date. Any saved expenses shall be offset. The Client reserves the right to prove that the Service Provider actually incurred lower or no damage. Other claims of the parties remain unaffected.

4.0 Usage and Copyrights, Cooperation Rights

4.1 Orders placed with Suisse Local for programming and software development are generally copyright contracts aimed at granting usage rights to work services.

4.2 All source codes, as well as created software, including as partial services of a total project, are subject to copyright law. The provisions of copyright law also apply if the required level of originality under Swiss copyright law is not reached.

4.3 Without the consent of Suisse Local, the works, including the copyright designation, may not be altered in original or reproduction. Any imitation is prohibited.

4.4 Repetition (e.g., re-edition) or multiple uses (e.g., for another product) are subject to a fee: they require consent, unless otherwise described in the order confirmation. The transfer of granted usage rights to third parties requires the written consent of Suisse Local.

4.5 Suisse Local has a right to information regarding the scope of use.

4.6 The Client has no right to the transfer of raw data or source codes.

4.7 Insofar as programs or program parts are part of the delivery, the Client is granted a simple right of use for them, i.e., they may neither copy nor transfer them to others for use. A multiple right of use requires a special written agreement.

4.8 In case of violation of these usage rights, the Client is liable for the full extent of the incurred damage.

4.9 The Service Provider retains all copyrights to the software program and other documentation material as well as all graphic design elements.

4.10 The Client’s suggestions and instructions due to technical, design, and other reasons, and their other cooperation, have no influence on the remuneration; they do not establish co-authorship.

4.11 4.11.1 The Client assures the Service Provider, by providing content (texts, images, data, trademarks, and trade names), that it possesses all rights for the purpose of placing advertisements on websites, advertising platforms, and in industry directories.

4.11.2 The Client indemnifies Suisse Local fully and without limitation in terms of amount from any third-party claims relating to competition law, copyright, name, and trademark law, as well as other claims, in connection with the content provided by the Client for the respective contractually booked advertising placements.

4.11.3 The Client bears all reasonably incurred costs and damages incurred by the Service Provider in this context, in particular legal defense and court costs. Furthermore, the Client is obliged to immediately, truthfully, and completely provide the Service Provider with all information required for the examination of claims and a defense upon first request. The same applies in favor of legal representatives or auxiliary persons.

4.11.4 The Client grants the Service Provider a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use the provided content for the duration of the contractual relationship or usage relationship plus 48 months. This also includes the reproduction, processing, and publication of the content.

4.12 To ensure the proper execution of the agreed services, the Client will fulfill the following cooperation obligations:

4.12.1 Provision of all services as specified in the contract components.

4.12.2 Provision of all content, data, samples, templates, logos, advertisements, motifs and banners, images, texts, films, sounds, claims, headlines, product and company-related and other information (hereinafter referred to as “Materials”) required for the execution of the contract, free of charge, in a suitable form and quality (e.g., resolution) according to the execution deadlines.

4.12.3 Obtaining declarations of consent from its employees, customers, and other persons recorded or filmed by Suisse Local or our subcontractors during the creation of image and sound recordings, to enable the use, publication, and distribution of these image and sound recordings; insofar as we provide forms for this purpose to the Client, we do not guarantee their validity.

4.12.4 Installation and commissioning of the updates, programs, scripts, plugins, etc. provided by us, as well as the maintenance of adequate and proper hardware and software infrastructure. The Client is obliged not to misuse the services provided by us.

5.0 Prices and Payment Conditions

5.1 The setup fee is due immediately without deduction within 10 days of invoicing. In other respects, the provisions of the order confirmation apply.

5.2. 5.2.1 The prices calculated for the use of the explained service partly consist of a one-time setup fee and a monthly usage fee.

5.2.2 Depending on the chosen package, the monthly usage fee or the setup fee may be waived. Further details are regulated by the respective order confirmation.

5.2.3 The usage fee is due upon invoicing, at the latest upon provision of the service.

5.3 Payment of the invoice is generally made by bank transfer to a Suisse Local business account or by direct debit. Other payment methods such as PayPal, instant transfer, credit card etc. are optionally available.

5.4 If the Client defaults on payment, the Service Provider is entitled to charge default interest at a rate of eight percentage points over the respective base interest rate. If the Service Provider can prove a higher default damage, the Service Provider is entitled to claim it.

5.5 The Client is only entitled to offsetting rights if its counterclaims have been legally established, are undisputed, or have been acknowledged by the Service Provider.

5.6 The Client is entitled to exercise a right of retention only insofar as its counterclaim is based on the same contractual relationship.

5.7 If services are delivered in parts or if the order extends over a longer period, partial payments may be agreed upon.

5.8 Changes caused by the Client and deviating from the original order and offer will be charged additionally.

5.9 The prices published, offered, or calculated by the Service Provider are net prices, plus the currently applicable statutory value-added tax – unless otherwise stated. No discount is granted and will be charged in any case.

5.10 5.10.1 If the Client culpably defaults on payment of a partial amount from the contract, the entire remaining amount due until the end of the contract term becomes immediately payable.

5.10.2 In this case, the Service Provider has the right to terminate the contract without notice at the end of the contract term.

5.11 An additional fee of EUR 10.00 will be charged for reminders. Any incurred costs (chargeback fees, etc.) will be charged to the Client.

6.0 Contract Conclusion / Definition: Commencement of Monthly Contract Term

6.1 If (exceptionally) a contractual right of withdrawal is granted in the order confirmation, the contract is deemed concluded (contract conclusion) after the withdrawal period has expired. The withdrawal period begins upon dispatch of the order confirmation. Generally applicable statutory rights of withdrawal shall apply.

6.2 Unless otherwise specified in the order confirmation, the commencement of the monthly contract term is the date of the order confirmation.

6.3 A postponement of the service period and/or the start date has no influence on the contract start.

7.0 Delivery Conditions

7.1 In Korrespondenz, Angeboten und Verträgen genannte Fertigstellungs- oder Liefertermine sind unverbindlich, wenn die Verbindlichkeit nicht im Einzelfall ausdrücklich schriftlich vereinbart wurde.

7.2 Suisse Local haftet nicht für Verzögerungen, die bei sorgfältiger Betriebsführung nicht vermeidbar sind, insbesondere nicht für unvorhersehbare Verzögerungen wegen höherer Gewalt, technischer Störungen wie unverschuldetem Geräteausfall oder Arbeitskämpfen.

7.3 Im Übrigen beschränken sich Ansprüche des Auftraggebers auf eine der Verzögerung angemessene Minderung des vereinbarten Preises oder auf Rücktritt vom Vertrag, wenn die vereinbarte Leistung wegen besonderer Umstände wegen der Verzögerung für den Auftraggeber keinen Wert hätte, es sei denn, die Verzögerung beruht auf Vorsatz oder grober Fahrlässigkeit.

7.4 Die allgemeinen Haftungsbeschränkungen bleiben hiervon unberührt.

7.5 Suisse Local ist in jedem Fall zu Teilleistungen berechtigt.

7.6 Der Beginn der von Suisse Local angegebenen Lieferzeit setzt die Abklärung aller technischen Fragen voraus. Die Einhaltung der Lieferverpflichtung setzt weiterhin die rechtzeitige und ordnungsgemässe Erfüllung der Verpflichtung des Auftraggebers voraus. Die Einrede des nicht erfüllten Vertrages bleibt vorbehalten. Kommt der Kunde in Annahmeverzug oder verletzt er sonstige Mitwirkungspflichten, so ist Suisse Local berechtigt, insoweit entstehenden Schaden einschliesslich etwaiger Mehraufwendungen ersetzt zu verlangen. Weitergehende Ansprüche bleiben vorbehalten.

7.7 Suisse Local haftet nach den gesetzlichen Bestimmungen, sofern als Folge eines von Suisse Local zu vertretenden Lieferverzugs der Auftraggeber berechtigt ist geltend zu machen, dass sein Interesse an der weiteren Vertragserfüllung weggefallen ist. Suisse Local haftet ferner nach den gesetzlichen Bestimmungen, sofern der Lieferverzug auf einer uns zu vertretenden vorsätzlichen oder grob fahrlässigen Vertragsverletzung beruht.

7.8 Sofern der Lieferverzug nicht auf einer von Suisse Local zu vertretenden vorsätzlichen Vertragsverletzung beruht, ist die Schadensersatzhaftung seitens Suisse Local auf den vorhersehbaren, typischerweise eintretenden Schaden begrenzt.

7.9 Suisse Local haftet auch nach den gesetzlichen Bestimmungen, soweit der von Suisse Local zu vertretende Lieferverzug auf der schuldhaften Verletzung einer wesentlichen Vertragspflicht beruht; in diesem Fall ist aber die Schadensersatzhaftung auf den vorhersehbaren, typischerweise eintretenden Schaden begrenzt.

7.10 Wird der Versand, bzw. die Bereitstellung bzw. die Leistung, auf Wunsch des Kunden verzögert, geht die Gefahr mit der Meldung der Versand- bzw. der Bereitstellungsbereitschaft auf ihn über.

7.11 Der Auftraggeber verpflichtet sich zusätzlich alle für das Produkt notwendigen Informationen, insbesondere Texte und Bilder, die für die Bereitstellung des Produktes notwendig sind in das von Suisse Local zur Verfügung gestellte System innerhalb von 14 Tagen nach Vertragsabschluss (siehe Ziff. 6) einzutragen.

7.12 Sollte der Auftraggeber Suisse Local nicht alle nötigen Informationen innerhalb der angegebenen Fristen zur Verfügung gestellt haben, ist Suisse Local berechtigt mit den ihm bekannten Daten des Auftraggebers seine Dienstleistung zu erbringen.

7.13 Subsequent changes will be charged additionally.

8.0 Warranty

8.1 The Client must examine the transmitted results for defects within 14 days of receipt.

8.2 If obvious defects are not reported immediately, the Service Provider’s performance is deemed approved and warranty claims are excluded.

8.3 The contractual products are manufactured with due diligence. The Service Provider is only bound by an assurance of specific characteristics upon written confirmation.

8.13 Technical data and descriptions in product information or offers alone do not constitute an assurance of specific characteristics.

8.14 There is no warranty that the service meets the specific requirements of the Client. The Client bears sole responsibility for selection and use as well as the intended results. The Client’s warranty rights require that the Client has duly fulfilled its obligations to examine and give notice of defects as required by Swiss law.

8.15 If a defect attributable to the Service Provider exists, the Service Provider is entitled, at its option, to rectify the defect or provide a replacement delivery.

8.16 Claims for damages by the Client arising from positive breach of contract and from the breach of duties during contract negotiations are excluded; the Service Provider is not liable for lost profits, unrealized savings, damages from third-party claims, and other indirect and consequential damages.

8.17 Claims for damages by the Client due to delay or impossibility of performance by the Service Provider are limited to the value of that part of the service which cannot be used as contractually intended due to impossibility or delay.

8.18 The Client is solely liable for the content provided or published by the Client. The Service Provider is not liable for the content.

9.0 Retention of Title

Suisse Local retains the right of use to the delivered services until full payment of all claims, whether existing or future, arising from the business relationship with the Client, regardless of their nature or legal basis. In the case of a current account, the reserved right of use serves as security for the balance claim. The repossession or seizure of the reserved goods by the Service Provider does not constitute a withdrawal from the contract.

10.0 Data Protection

10.1 The Client hereby agrees that personal data (master data) and other information relating to its usage behavior (connection data) (e.g., time, number and duration of connections, access passwords, uploads and downloads) may be stored by the Service Provider for the duration of the contractual relationship, insofar as this is necessary for the fulfillment of the contract purpose, in particular for billing purposes. By storing, the Client declares its consent.

10.2 The Service Provider also processes and uses the collected master data for consulting its customers, for advertising and market research for its own purposes, and for the demand-oriented design of its services.

10.3 The Client may object to such use of its data.

10.4 Suisse Local undertakes to provide the Client with complete information about the stored data, insofar as it concerns them, at any time upon request.

10.5 10.5.1 Suisse Local will neither forward this data nor the content of private messages of the Client to third parties without the Client’s consent.

10.5.2 This does not apply to ad texts, search terms, and advertising materials provided by the Client to Suisse Local.

10.6 This only applies insofar as Suisse Local is not legally obliged to disclose such data to third parties, in particular state authorities, or insofar as internationally recognized technical standards provide for it and the Client does not object.

10.7 Suisse Local expressly points out to the Client that data protection in open networks like the internet cannot be fully guaranteed according to the current state of technology. The Client knows that Suisse Local, as a service provider, can view the website stored on the web server and possibly other data stored there by the Client at any time from a technical perspective. The Client is obliged to inform its customers that Suisse Local is entitled to contact them for market research purposes and to improve the offer. Other internet participants may also be technically able to unauthorisedly interfere with network security and control message traffic. The Client therefore bears the responsibility for the security of the data transmitted by him to the Internet.

11.0 Credit Check

11.1. Suisse Local works with Swiss credit rating agencies and credit insurance companies. The Client is aware that Suisse Local may obtain information about them from these companies. The Client agrees by signing when placing an order that Suisse Local may transmit data about the application, conclusion, and termination of the contract to Swiss credit rating agencies.

11.2. Independently of this, Suisse Local is entitled to transmit data due to non-contractual behavior (e.g., termination due to payment default, requested dunning notices for undisputed claims, and enforcement measures) to recognized Swiss credit rating agencies. These reports are only permitted after weighing all affected interests and according to the provisions of the Swiss Data Protection Act (DPA).

11.3. Swiss credit rating agencies store and transmit the data to their contractual partners to provide them with information for assessing the creditworthiness of natural and legal persons. Data transmission only takes place if a legitimate interest in doing so has been credibly demonstrated in individual cases. When providing information, credit rating agencies can additionally provide their contractual partners with a probability value calculated from their data stock for assessing credit risk (so-called scoring procedures).

11.4. Suisse Local will provide the Client with the addresses of these companies upon request, which can also provide the Client with information about the data stored about them.

12.0 Applicable Law, Place of Performance, Jurisdiction

All contracts and transactions between the Service Provider and the Client are exclusively subject to Swiss law, with the exception of those provisions of Swiss law that refer to other laws. The place of performance is the respective registered office of the Service Provider, currently Zurich. The exclusive place of jurisdiction for all claims arising from and relating to the aforementioned contracts and transactions, including check and bill of exchange lawsuits, as well as all disputes arising between the parties (the Service Provider and companies, as well as legal entities under public law) regarding the conclusion, processing, or termination of the business relationship, is Zurich. The Service Provider may also file lawsuits at the Client’s domicile or place of business.

13.0 Final Provisions

13.1 In the event of a violation by the Client of one or more provisions of these General Terms and Conditions, the Service Provider is entitled to immediate, extraordinary termination.

13.2 The Service Provider is entitled to amend these General Terms and Conditions at any time. The Client will be notified of changes in due time. If the Client does not object within two weeks of dispatch, the amendments are deemed approved.

13.3 Should one of the foregoing provisions of this agreement be or become invalid or ineffective, this shall not affect the validity of the remaining provisions. Instead, the invalid provision shall be replaced by a substitute provision that comes as close as possible to the purpose of the agreement and that the parties would have agreed upon to achieve the same economic result if they had known of the invalidity of the provisions.

13.4 The Service Provider reserves the right to make changes to the General Terms and Conditions and/or the service description(s) if and insofar as unforeseen developments, which the Service Provider did not cause and over which it has no influence, make this necessary and do not significantly disturb the balance of the contractual relationship existing at the time of contract conclusion.
